Effective Date: October 1, 2026 | Last Updated: October 1, 2026
These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "you," "your") and Sailor SEO ("Company," "we," "us," "our"), a nationwide AI-powered search engine optimization and digital marketing agency serving clients across all 50 states of the United States. By engaging our services, subscribing to any service plan, initiating a payment through Stripe or any other payment processor, submitting a contact form, or otherwise using our website at sailorseo.com (the "Site") or any services offered by the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our Site or engage our services.
THE COMPANY DOES NOT USE TRADITIONAL PAPER CONTRACTS. BY SELECTING A SERVICE PLAN AND INITIATING A STRIPE SUBSCRIPTION OR MAKING ANY PAYMENT TO THE COMPANY, YOU ARE ENTERING INTO A LEGALLY BINDING AGREEMENT GOVERNED BY THESE TERMS AND CONDITIONS. YOUR SUBSCRIPTION AND PAYMENT SERVE AS YOUR ELECTRONIC SIGNATURE AND AFFIRMATIVE ACCEPTANCE OF THIS AGREEMENT IN ITS ENTIRETY, INCLUDING ALL LIMITATIONS OF LIABILITY, DISCLAIMERS, WAIVERS, RELEASES, ARBITRATION PROVISIONS, AND ALL OTHER WAIVERS CONTAINED HEREIN. THIS AGREEMENT IS FULLY ENFORCEABLE UNDER THE FEDERAL ELECTRONIC SIGNATURES IN GLOBAL AND NATIONAL COMMERCE ACT (E-SIGN ACT, 15 U.S.C. § 7001 ET SEQ.) AND ALL APPLICABLE STATE ELECTRONIC SIGNATURE LAWS, INCLUDING BUT NOT LIMITED TO THE UNIFORM ELECTRONIC TRANSACTIONS ACT (UETA) AS ADOPTED BY YOUR STATE OF RESIDENCE.
We reserve the right to modify, amend, or update these Terms at any time and for any reason, at our sole discretion, by posting the revised Terms on the Site. Your continued use of the Site, Services, or maintenance of an active subscription after any such modifications constitutes your acceptance of the revised Terms. It is your sole responsibility to review these Terms periodically.
Sailor SEO is a nationwide AI-powered search engine optimization agency. The Company offers only two categories of services (collectively, the "Services"): (1) Search Engine Optimization (SEO) Services, including SEO Services, AI SEO (Generative Engine Optimization / GEO), Local SEO, Technical SEO, On-Page SEO, Keyword Research, Link Building, Content Writing, SEO Audits, Google Business Profile optimization, schema markup, directory submissions, and the related deliverables listed in our published SEO packages; and (2) Web Design Services, including website design, development, redesigns, and SEO-ready website builds. The Company does not offer, and these Terms do not create any obligation to provide, any other service. Any free tools, resources, audits, calculators, or reports on the Site are provided for informational purposes only and are not Services. The specific deliverables and pricing for each plan or project are those shown on the Site at the time of purchase or in a written proposal or invoice provided to the Client.
SEO and digital marketing are inherently unpredictable. Search engine algorithms, AI systems, advertising platform policies, and competitive landscapes change frequently and without notice. The Company makes no guarantees, representations, or warranties regarding specific rankings, traffic volumes, lead generation, revenue increases, return on investment, or any other specific results. Any projections, estimates, case studies, or performance metrics shared are for illustrative purposes only and do not constitute a guarantee of future performance.
THE CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT THE COMPANY DOES NOT AND CANNOT GUARANTEE ANY SPECIFIC RESULTS FROM ITS SERVICES. WITHOUT LIMITATION, THE COMPANY DOES NOT GUARANTEE:
The Client acknowledges that search engine optimization is a long-term strategy subject to numerous external factors beyond the Company's control, including but not limited to: search engine algorithm changes, AI platform updates, competitor actions, market conditions, website hosting issues, Client's own website changes, third-party platform policy updates, and changes in consumer behavior. The Client agrees that the absence of guaranteed results does not constitute a breach of this Agreement or grounds for a refund, chargeback, lawsuit, legal claim, or cause of action of any kind.
THE COMPANY OPERATES ON A SUBSCRIPTION-BASED MODEL THROUGH STRIPE, A THIRD-PARTY PAYMENT PROCESSOR. THE COMPANY DOES NOT REQUIRE SEPARATE WRITTEN CONTRACTS. BY SELECTING A SERVICE PLAN AND COMPLETING YOUR FIRST PAYMENT OR INITIATING A RECURRING SUBSCRIPTION THROUGH STRIPE, YOU ARE ENTERING INTO A BINDING SERVICE AGREEMENT WITH THE COMPANY UNDER THESE TERMS AND CONDITIONS. YOUR ACT OF SUBSCRIBING AND PAYING CONSTITUTES FULL, INFORMED, AND VOLUNTARY CONSENT TO ALL TERMS HEREIN, INCLUDING BUT NOT LIMITED TO ALL LIMITATIONS OF LIABILITY, WAIVERS, RELEASES, ARBITRATION PROVISIONS, AND DISCLAIMERS.
The Client expressly acknowledges and agrees that:
All fees for Services are due as specified in the applicable service proposal, invoice, or payment schedule. Unless otherwise agreed in writing, all fees are due in advance on a monthly basis. All payments are non-refundable once the billing period has commenced, as the Company begins allocating resources, labor, AI tools, and third-party costs immediately upon engagement.
Late payments shall accrue interest at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is lower, calculated from the due date until payment is received in full. The Client shall be responsible for all costs of collection, including but not limited to reasonable attorney's fees, court costs, collection agency fees, and any other expenses incurred by the Company in collecting overdue amounts.
The Company reserves the right to suspend or terminate all Services immediately and without prior notice if any payment is more than seven (7) days past due. The Company shall not be liable for any damages, losses, or consequences resulting from the suspension or termination of Services due to non-payment.
The Client agrees not to initiate any chargeback, payment dispute, or payment reversal with their payment provider, bank, or credit card company for any Services rendered. If a chargeback is initiated, the Client shall be liable for all chargeback fees, administrative costs, and any additional damages incurred by the Company, in addition to the original amount owed. The Client further agrees that initiating a chargeback for Services already rendered constitutes a material breach of this Agreement.
ALL FEES PAID FOR SERVICES ARE NON-REFUNDABLE. THE CLIENT ACKNOWLEDGES AND AGREES THAT:
In the Company's sole discretion, it may offer partial credits toward future Services, but is under no obligation to do so. Any credits issued are non-transferable and expire 90 days from issuance.
The Client agrees to:
The Company shall not be liable for any delays, diminished results, or failure to perform due to the Client's failure to fulfill its responsibilities under this section. Delays caused by the Client do not extend any service period or entitle the Client to a refund, credit, or claim of any kind.
All proprietary methodologies, strategies, processes, tools, software, AI models, frameworks, templates, and other intellectual property developed or used by the Company in the course of providing Services remain the exclusive property of the Company. The Client is granted a limited, non-exclusive, non-transferable license to use deliverables created specifically for the Client (such as website content, blog articles, and graphics) solely for the Client's own business purposes, provided all fees have been paid in full.
The Company retains the right to use anonymized or aggregated data, case studies, and general learnings from the Client engagement for marketing, portfolio, and educational purposes, unless the Client provides written notice to the contrary.
The Client warrants and represents that all materials, content, images, trademarks, and other intellectual property provided to the Company are either owned by the Client or that the Client has obtained all necessary rights, licenses, and permissions to use and authorize the Company to use such materials. The Client shall indemnify, defend, and hold harmless the Company from any claims arising from intellectual property infringement related to materials provided by the Client.
Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the engagement. Confidential information includes, but is not limited to: business strategies, marketing plans, financial information, customer lists, login credentials, analytics data, AI-generated insights, and any other non-public information.
This obligation of confidentiality shall survive the termination of this Agreement for a period of two (2) years. Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without reference to the disclosing party's confidential information; or (d) is required to be disclosed by law, regulation, or court order.
Services shall commence upon the Client's acceptance of a service proposal, payment of initial fees, or commencement of work, whichever occurs first, and shall continue for the term specified in the applicable service proposal or on a month-to-month basis if no specific term is stated.
Cancel anytime. SEO subscriptions have no long-term contract and no cancellation fee. The Client may cancel at any time by emailing info@sailorseo.com or calling (585) 310-4407. Cancellation takes effect at the end of the current paid billing period: the Client will not be charged again, Services continue through the end of the period already paid for, and no partial-month refunds are issued. Web Design projects may be cancelled at any time by the same methods; amounts paid for work already started or completed are non-refundable, and any remaining unpaid installments for work not yet started will not be charged.
Upon termination: (a) the Client shall pay all outstanding fees for Services rendered through the effective termination date; (b) the Company shall have no further obligation to perform Services; (c) any unpaid fees shall become immediately due and payable; (d) the Company shall have no liability for any loss of rankings, traffic, or visibility following termination; and (e) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3, 5, 7, 8, 10, 11, 12, 13, 14, 15, 16, 19, 20, 21, 22, and 23.
The Company reserves the right to terminate Services immediately and without refund if the Client: (a) fails to make timely payments; (b) engages in abusive, threatening, or harassing behavior toward Company personnel; (c) requests or engages in unethical or illegal practices; (d) materially breaches any provision of these Terms; (e) provides false or misleading information; or (f) initiates a chargeback or payment dispute.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW:
IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO THE CLIENT OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, ANTICIPATED SAVINGS, CUSTOMERS, CONTRACTS, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICES, THE SITE, OR ANY ACT OR OMISSION OF THE COMPANY, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE AND GROSS NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR THE SITE SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY THE CLIENT TO THE COMPANY DURING THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE NUMBER OF CLAIMS, THE FORM OF ACTION, AND REGARDLESS OF WHETHER THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
THE CLIENT ACKNOWLEDGES THAT THE FEES CHARGED BY THE COMPANY REFLECT THE ALLOCATION OF RISK SET FORTH IN THIS AGREEMENT AND THAT THE COMPANY WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THESE LIMITATIONS ON ITS LIABILITY. THE CLIENT VOLUNTARILY ASSUMES ALL RISK ASSOCIATED WITH THE SERVICES.
THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR HARM RESULTING FROM: (A) SEARCH ENGINE ALGORITHM CHANGES OR AI PLATFORM UPDATES; (B) SEARCH ENGINE PENALTIES OR MANUAL ACTIONS; (C) LOSS OF RANKINGS, TRAFFIC, OR VISIBILITY; (D) ACTIONS OF COMPETITORS; (E) THIRD-PARTY PLATFORM OUTAGES OR POLICY CHANGES; (F) CLIENT'S OWN ACTIONS OR INACTIONS; (G) MARKET CONDITIONS OR ECONOMIC CHANGES; (H) DATA BREACHES BY THIRD PARTIES; (I) ANY LOSS OF BUSINESS, REVENUE, OR PROFITS; OR (J) ANY OTHER CIRCUMSTANCE BEYOND THE COMPANY'S REASONABLE CONTROL.
THE SERVICES AND THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
THE CLIENT ASSUMES ALL RISK AND RESPONSIBILITY FOR THE USE OF THE SERVICES AND THE SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE COMPANY OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
The Client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, contractors, affiliates, licensors, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees and court costs) arising out of or related to:
This indemnification obligation shall survive the termination of these Terms and any service agreement between the parties. The Company shall have the right to participate in the defense of any claim at its own expense.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
The Client and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between the parties, including the determination of the scope or applicability of this agreement to arbitrate (collectively, "Disputes"), shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth below. This arbitration provision applies regardless of the Client's state of residence or the location where Services were performed.
Before initiating arbitration, the parties agree to attempt to resolve any Dispute informally by contacting each other in writing at info@sailorseo.com or (585) 310-4407 and providing a written description of the Dispute and the relief sought. The parties shall negotiate in good faith for a period of at least thirty (30) days before initiating arbitration.
If a Dispute cannot be resolved informally, the Dispute shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes then in effect. The arbitration shall be conducted by a single arbitrator in Monroe County, New York, or, at the election of the Client, via telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. §§ 1-16) shall govern the interpretation and enforcement of this arbitration provision.
BY AGREEING TO THESE TERMS, THE CLIENT AND THE COMPANY EACH IRREVOCABLY AND UNCONDITIONALLY WAIVE THEIR RESPECTIVE RIGHTS TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR THE RELATIONSHIP BETWEEN THE PARTIES. THIS WAIVER APPLIES TO ALL CLAIMS WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.
THE CLIENT AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MULTI-DISTRICT, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Additionally, the Company may bring an action in small claims court or pursue collection of overdue amounts in any court of competent jurisdiction.
Each party shall bear its own costs and attorney's fees in connection with any arbitration proceeding. The arbitration filing fees and arbitrator compensation shall be allocated in accordance with the AAA's rules. Notwithstanding the foregoing, if the Client initiates arbitration and the arbitrator determines that the Client's claims are frivolous or brought in bad faith, the Client shall reimburse the Company for all costs and reasonable attorney's fees incurred in defending the arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. This choice of law applies regardless of the Client's state of residence or the location where Services were performed. To the extent that any legal proceeding is permitted under these Terms (as limited by the Arbitration provision above), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Monroe County, New York, and each party irrevocably waives any objection to jurisdiction or venue in such courts.
The Company shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, earthquakes, accidents, strikes, labor disputes, power outages, internet or telecommunications failures, search engine algorithm changes, AI platform changes, platform policy changes, government regulations, cyberattacks, data breaches by third parties, or any other event beyond the Company's reasonable control ("Force Majeure Event"). In the event of a Force Majeure Event, the Company's obligations shall be suspended for the duration of the event, and the Company shall not be liable for any resulting delays, failures, or damages.
BY SUBSCRIBING TO ANY SERVICE PLAN, MAKING ANY PAYMENT, OR ENGAGING THE COMPANY'S SERVICES IN ANY MANNER, THE CLIENT VOLUNTARILY, KNOWINGLY, AND IRREVOCABLY RELEASES, WAIVES, AND FOREVER DISCHARGES THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, DEBTS, OBLIGATIONS, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEY'S FEES) OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, PAST, PRESENT, OR FUTURE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH:
If you are a California resident, you expressly waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." Residents of all other states similarly waive any comparable statutory protections to the maximum extent permitted by applicable law.
THE CLIENT ACKNOWLEDGES THAT THIS RELEASE AND WAIVER IS A MATERIAL TERM OF THIS AGREEMENT AND THAT THE COMPANY HAS RELIED UPON IT IN PROVIDING SERVICES AT THE AGREED-UPON PRICE. THE CLIENT HAS BEEN ADVISED TO CONSULT WITH AN ATTORNEY BEFORE ACCEPTING THESE TERMS.
THE CLIENT COVENANTS AND AGREES THAT THE CLIENT SHALL NOT SUE, FILE A LAWSUIT, INITIATE LEGAL PROCEEDINGS, OR COMMENCE ANY LEGAL ACTION OF ANY KIND AGAINST THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS IN ANY COURT, TRIBUNAL, ARBITRATION FORUM (EXCEPT AS PROVIDED IN SECTION 13), OR GOVERNMENTAL BODY, RELATED TO OR ARISING FROM THE SERVICES, THESE TERMS, OR THE RELATIONSHIP BETWEEN THE PARTIES.
If the Client breaches this covenant not to sue by filing any legal action against the Company (other than through the arbitration process described in Section 13), the Client shall: (a) immediately pay the Company's reasonable attorney's fees and costs incurred in responding to and dismissing such action; (b) pay liquidated damages in the amount of $25,000 or three times the total fees paid by the Client to the Company, whichever is greater; and (c) reimburse the Company for any reputational damages or business losses caused by the filing.
The Client acknowledges that this covenant not to sue is reasonable and necessary to protect the Company's business interests, and that the liquidated damages amount is a genuine pre-estimate of the damages the Company would suffer from a breach of this covenant.
These Terms, together with any applicable service proposal, statement of work, invoice, or other written agreement between the parties, constitute the entire agreement between the Client and the Company with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the Company to be effective.
The Client may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of the Company. The Company may assign these Terms or any rights or obligations hereunder without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
The relationship between the Company and the Client is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the parties.
All notices under these Terms shall be in writing and shall be deemed given when delivered personally, sent by email to info@sailorseo.com (for notices to the Company), or sent by certified mail, return receipt requested, to the addresses on file. Notices to the Client may be sent to the email address provided during signup or engagement.
The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
The rights and remedies of the Company under these Terms are cumulative and are in addition to, and not in substitution for, any other rights and remedies available at law, in equity, or otherwise.
In providing the Services, the Company may utilize third-party platforms, tools, AI systems, and services, including but not limited to: Google (Search, Analytics, Search Console, Business Profile), SEMrush, Ahrefs, Moz, WordPress, Stripe, various AI tools (ChatGPT, Claude, Gemini, and others), and various hosting and analytics providers. The Company is not responsible for the actions, policies, terms, outages, changes, or failures of any third-party platform or AI system. The Client acknowledges that changes to third-party platforms or AI systems may impact the Services and that such changes are beyond the Company's control.
The Client is solely responsible for complying with the terms of service and policies of any third-party platform on which the Company performs Services on the Client's behalf. The Company shall not be liable for any penalties, account suspensions, data losses, or other adverse actions taken by third-party platforms against the Client.
All content on the Site, including but not limited to text, graphics, images, case studies, testimonials, blog posts, tools, calculators, AI-generated content, and other materials, is provided for general informational purposes only. The content does not constitute professional advice and should not be relied upon as such. The Company makes no representations or warranties about the accuracy, completeness, reliability, suitability, or availability of the information contained on the Site.
Any reliance you place on such information is strictly at your own risk. The Company shall not be liable for any loss or damage, including without limitation indirect or consequential loss or damage, arising from or in connection with the use of the Site or reliance on information provided therein.
The Client acknowledges and assumes all risks associated with SEO and digital marketing services, including but not limited to:
THE CLIENT EXPRESSLY AGREES THAT THE COMPANY SHALL NOT BE HELD RESPONSIBLE, LIABLE, OR SUBJECT TO ANY LAWSUIT, LEGAL CLAIM, OR CAUSE OF ACTION FOR ANY OF THE FOREGOING RISKS OR THEIR CONSEQUENCES. THE CLIENT'S SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO TERMINATE THE SUBSCRIPTION IN ACCORDANCE WITH SECTION 9.
THE CLIENT AGREES THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR THE SITE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION AROSE, OR BE FOREVER BARRED. THIS PROVISION SHALL APPLY REGARDLESS OF ANY STATUTE OF LIMITATIONS THAT WOULD OTHERWISE APPLY UNDER FEDERAL OR STATE LAW.
During and after the term of engagement, the Client agrees not to make or publish any false, misleading, defamatory, or disparaging statements about the Company, its officers, employees, agents, services, or business practices in any medium, including but not limited to social media, review platforms, forums, or communications with third parties. Nothing in this provision shall prevent the Client from making truthful statements when required by law or from providing honest feedback directly to the Company.
